One question often receives less attention than it deserves during Local Government Reorganisation.

Once the new authority comes into existence, who will actually exercise shareholder powers?

The answer has important implications for governance, accountability and effective decision-making from the very first day.

Shareholder responsibilities don't disappear

Council-owned companies continue to require active oversight.

Decisions still need to be made.

Shareholder rights still need to be exercised.

Governance arrangements still need to function effectively.

The creation of a new authority does not pause those responsibilities.

Planning before transition

Authorities should consider:

  • Which committee or body will exercise shareholder functions?
  • What delegations will be required?
  • Will shareholder agreements need updating?
  • How will decisions be made during the transition period?
  • Are constitutional changes required?

Addressing these questions early helps reduce uncertainty once responsibilities transfer.

Avoiding last-minute decisions

One of the greatest risks during any major organisational change is leaving governance decisions until the final stages.

Transitional arrangements often require careful consideration, particularly where multiple predecessor authorities are involved.

By agreeing governance frameworks well before vesting day, councils place themselves in a much stronger position to maintain business continuity.

Looking ahead

Effective shareholder governance begins long before the new authority formally assumes responsibility.

Clear decision-making arrangements help provide certainty for officers, board members and commercial partners alike.
